Check out it modem is connected to SER1 (/dev/ttyS0) or SER2 (/dev/ttyS2).
Check what is the modem model.
Check how modem works under host OS (Ubuntu). Use sudo pppconfig, sudo
pon connection, plog, to try out and make modem connection within
Ubuntu, prior trying to make it work in Guest OS. (And also efax-gtk for
faxes from Ubuntu, consult help.ubuntu.com)

Try to go through add new hardware wizard in windows guest OS and see if
port appears in device manager, after Guest OS restart. Try adding
manually port in Guest OS with drivers. (I have XP here)
