You've probably got some processes that are slow to shutdown and are hung this is causing Windows XP to delay the shutdown. There's a registry hack to speed up stuck and hung processes. Windows XP, Me and 98 makes automatic backups of the registry at timed intervals through System Restore but other versions of Windows lower than 2000 and 98 don't so you're ok.
