Use
mpeg3toc mediapath tocfile
to create toc. 'mediapath' must be absolute.
mpeg3toc is part of cinelerra.

Also, I've got a script that creates mpeg table of contents files
from whatever directory your mpeg files are in and plops the TOC
files into .bcast for you:

Just make sure to edit the script for the correct file extension.
