Noah gives you good advice - single domain is fine.  Political or
security issues could change that, but a single domain with multiple
sites will make the management pretty easy and straight forward.

As to the migration, get a copy of the Windows .Net Corporate Preview,
or if you have MSDN / TechNet, RC1 of Windows .Net.  You'll be looking
for Active Directory Migration Tool ver 2.0.  Fairly simple to use and
set up, but just be ready for the fact that you will have to have your
target domain in native mode.

ADMT will allow you to migrate users, groups, passwords, etc.  And, just
to clear it up before the inevitable question comes:

Native mode means that you have no Windows NT domain controllers
(BDC's).  Once you go Native, you will not replicate with NT BDCs.
However, you CAN have any mix of clients and member servers (NT 3.x,
4.0, 95, 98, ME).
