So what does this mean exchange servers cannot be renamed or moved to a different domain?

I have one domain with two DCs...one of which is also an Exchange server. This domain (company.com)is used by two organizations that now want their own separate networks. One organization will keep the current server hardware. It was decided that the other group would be small enough to use SBS 2003. The tricky part is that the org moving to SBS is the one who controls the name for the existing domain and will use it on their network. So, do I demote one DC and then create a new forest and domain, then setup a trust and migrate everyone? Do I run the risk of totally screwing Exchange since it is on a DC?
