Actually, I don't think it is necessary to start over (at least, I hope so).
In my case, I loaded several CS4 projects into CS5, never touching, tagging,
moving, renaming, or doing anything to any of the "resource" files.
Initially CS5 makes a new project file from the old CS4 one, thereafter all
videos and other resources worked exactly as in CS4. Note CS5 doesn't change
the file format (or directory structure) of anything other than the project
file (which is why they give it a name different from CS4); all other files
remain identical to what is used in CS4.

However, I am suspicious of trying to mix 32-bit software with 64-bit
software, but that is only a suspicion.

with the original footage, although, I seem to remember there is a way if
transposing the clips from one version to another.  If this involves having
to 'tag' every clip in CS4 so CS5 will 'see' it from its original folder
then re-tag it again when imported, creating the correct file structure in
CS5, remains a mystery, although, not out of the realms of modern Adobe
logic!

Might be worth googling the problem as I too seem to remember another user
having the same problems well into last year before....
