Sorry, I can see your frustration - this thread started because there were
difficulties getting CS4 to run under the 64-bit OS, and now that CS5 is
installed, the 32-bit plug-ins won't work with the 64-bit application. 
 
For the first question: Yes, a 32-bit plug-in will run on a 64-bit OS BUT
for the second question: No, you cannot simply copy the existing 32-bit
plug-in from the CS4 directory into the CS5 directory and expect them to
work. And no, manually reinstalling the existing 32-bit plug-ins to be under
the CS5 directory also will not work - since CS5 is a 64-bit application and
can work only with 64-bit plug-ins, the plug-ins need to be recoded and
recompiled for 64-bit by the developer (thus the available Red Giant
upgrade). 
 
So to finish those projects it looks like the following are the only
choices:
1.       32-bit OS, 32-bit CS4, 32-bit plug-ins
2.       64-bit OS, 32-bit CS4, 32-bit plug-ins
3.       64-bit OS, 64-bit CS5, upgrade to the 64-bit plug-ins
 
I'm sorry for all this difficulty. If you could upgrade the plug-ins for
cheap, it should take only an hour to finish and you'd be on the way.
Otherwise you need to somehow get CS4 to work (and it should work on your
new 64-bit system), which I know you've said already has taken much too
long! I feel for you!
