I've used a freeware program called HandBrake.  In my case I had to convert 
Canon Rebel T2i video files into something CS4 could recognize (now, CS5 
handles the files OK).  HendBrake worked fairly quickly on my intel i940 system.

If your audio/video files are still separated, then perhaps other freeware 
programs such as tsMuxer or tsRemuxer may work to combine them into a single 
file.
