I got the answer now, disregard my query. Upgrade disks require a genuine copy of XP or Vista or apparently 2000 installed on the machine.

Not sure if it does but it would make sense.
How else would they justify the higher price for a stand-alone compared to
an upgrade, among other things.
Since it is only an upgrade offer that really puts a bit of a damper on the
good deal.

I know, but will the upgrade disk require a genuine full copy of either XP
or Vista? I don't mean it being physically installed but I mean would the
disk be required to verify that the upgrade is genuine? I remember back in
the old days that this was necessary if you've purchased an upgrade disk.
