Guess I should elaborate a bit more - though understand that by
sharing this I know it may make me look petty.  The decision to remove
the vendor was fiscal as well as personal...

The owner of said vendor service has professionally and personally
insulted both myself and my boss.  When asked for administrative
information and a "map" he replied, "lol that would all be billable
and probably above your head."  When I explained my history he replied
with a long-winded (but useless) diatribe about security and said I
should be working for an IT firm.

The final straw was when we challenged an invoice, he replied that
because of payment inconsistencies he was going to have to demand
either a credit card number on file or a retainer.

He has already broken all concept of professionalism, and that's
coming from someone who tries to laugh as often as possible.

There is a log of unexplained connections, data files updated via
"touch" and he has direct knowledge of the entire system architecture.
 We have changed as much as I can know and think of but we're worried
about the things we might have missed.  The letter I write is going to
be sent to both him and our attorney... yeah, I need help wording
*that* kind of letter.
