before you do anything, make sure that the device drivers for the existing
machine are available for XP.
There are a lot of legacy computers that cannot be upgraded due to the lack of
drivers.  Compaq for instance.

Check the Microsoft site for upgrade information - your upgrade may well be
applicable to win98
