You can always go back to some old code and find problems that can be better
addressed. You're manager has a VERY valid point. If you're user base is
educated with, and comfortable with the 'bad' system the way it is, don't
disturb it.
However, when you are being paid to recode specific components of that
system, then would be a good time to revise the process.
For now, I would focus on delivering top quality new deliverables and
revisit and rebuild previous mistakes at such time there are budgets and
common will to do so (users and developers).

This is but one example of his defense of old code
that is just terrible (the worst is approx 16 pages
made to email/fax/preview an approval to a client).
Yet to the owners he is the golden boy because he
produces these 'miracles' of the web
