Thank you. Actually, I just got home from a vacation, and have not had
time yet to be updated in recent criticism.

Until Haim or Tal reply, I will tell you what I know (IANAL, of course).

The assembly cannot just elect a board member, but the board can. The
board can also carry on with a board of only two members for a short
while. Both those situations are legal but unhealthy, and it is
reccomended to avoid them by calling elections (the board does that, not
the assembly).
