Until Haim or Tal reply, I will tell you what I know (IANAL, of course).
The assembly cannot just elect a board member, but the board can.
This is not true. The assembly can re-elect a board member.
The board can also carry on with a board of only two members for a short
while. Both those situations are legal but unhealthy, and it is
reccomended to avoid them by calling elections (the board does that, not
the assembly).
The board can remain with two-members or with an appointed new member only
until the next general assembly. Can't you wait until the after the assembly
to resgin? You put us in a very problematic situation. We cannot hold
elections because we already announced the assembly, and it's impropoer at
this point. We cannot appoint a temporary board member beacuse you resign
before the assembly.
This is according to the takanon of hamakor,
http://hamakor.org.il/takanon.html section 27.
No it's not. Read that chapter again. The board remains only until the next
general assembly.
