Thanks.  I cannot turn off acpi in the bios - if I do the system refuses to 
boot at all (only with the 2.4.21 kernel).  The 2.4.18 and 2.4.19 kernels 
bootup fine with acpi disabled in bios.  This special case of 2.4.21 dying at 
initial boot, before any logging was possible was an unusual case for me - I 
usually can get to at least a kernel panic if there is something screwy with 
my kernels.  I am about to try rebooting with the acpi=off switch with my 
current 2.4.21 custom kernel and see what comes of that.
