I will attempt to summarize the discussion so far. I will try to be
objective, but in the interests of full disclosure, I should state
explicitly that my personal opinion may add bias. I also lack any
experience with the legal details of this. Unfortunately, this
discussion started off-list ("offline"), in private email, and my copy
of the mail is at home, which I cannot access right now. In
particular, my use quotes in the following indicates my invention or
uncertainty of terminology, not a reference to someone statements.
Anyway:
The general feeling among many GNHLUG activists, myself included, is
that GNHLUG could benefit from a more official existence. One of the
primary ways we have been looking to do that is by incorporating
GNHLUG as a non-profit organization. Some of us have been working
hard on all the details required for that. In general, I don't know
exactly who is doing what, although I know Ed Lawson has been
generously offering his expertise in the area.
In order to incorporate, one needs to have an official structure.
State and Federal government mandate certain things. Part of this is
that we need to have a set of "bylaws" -- rules that define the power
structure of GNHLUG. A proposed set of bylaws has been drawn up. The
idea of submitting the bylaws to "the general membership" for
"approval" was raised.
The objection was raised that simply submitting these bylaws for
approval, without some kind of advanced warning or larger community
involvement, might result in "the general membership" as seeing this
as a "power grab" by an exclusive "cabal".
This is where my involvement in the present discussion begins. Up
until Mon 10 Oct, my last awareness about the incorporation issue was
that at the "2005 Summer Summit", it was agreed that efforts should be
revitalized. Then, suddenly, I was added to this discussion, then
occurring in private email. The discussion at that moment was
somewhat intense.
My first message on the issue CC'ed the -org list.
That concludes all the objective summarizing I can do. I will post
my subjective opinions in a separate message.
