I suppose it is stating the obvious but the appeal of virtualisation is it allows you to escape the bind to the underlying hardware when using Microsoft products. Buying a MS OEM version for virtualised hardware allows you to fling the machine around the net with gay abandon.

This is a real threat to Microsoft's business model and why they prohibit the installation of Vista on virtual machines. It will be interesting to see how and if they enforce this.

I am afraid I can't help you there; you might have to read the virtualbox documentation
