It sounds like some application is holding on to this .dll file for some reason. However, you should be able to rename the file even if it is locked because it is in use. So I would rename the file, copy in the new file and reboot. Once your system comes back up the new file will be the file it uses and the old renamed can then be deleted.

When I reported problems with Winamp scripts, I was informed that my
dll file is corrupt, and I was provided with a replacement file. When
I attempt to replace the vbscript.dll, in my system 32 folder, I
receive a message stating the file can not be replaced because it is
being used by a program. I have tried turning off scripts, and even
Window Eyes with the same results. Does anyone have any ideas to what
else could be using this file? I have also attempted the replacement
with all other programs shut down. Suggestions greatly appreciated.
