I have better answers now to some of the questions asked. The particulars are determined by the state in which we form. I'll quote specific law from Delaware, but you might reasonably expect to find similar law in other states.
First of all, there is no restriction on the citizenship of the incorporators: Delaware Title 8, Ch 1 I, S 101 (http://delcode.delaware.gov/title8/ c001/sc01/index.shtml): Any person, partnership, association or corporation, singly or jointly with others, and without regard to such person's or entity's residence, domicile or state of incorporation, may incorporate or organize a corporation Furthermore, there are no restrictions on the citizenship of board members Ch 1 IV, S 142 (http://delcode.delaware.gov/title8/c001/sc04/ index.shtml): The board of directors of a corporation shall consist of 1 or more members, each of whom shall be a natural person.
