These links should shed some light on the matter. The most common misconception is that OEM licenses can be transferred from your old PC to a new one. It appears that all Volume Licensing options are for upgrades, at least as far as the OS is concerned. Not sure about Office, etc. Just an interpretation of course, not legal advice.

I won't be able to defend you in court (my JD is from Bubba's School of Law and Bartending :-) ), but IMHO you have a legal license to the original operating system.  If Microsoft allows an upgrade from that platform to the one you want, then all you need is an upgrade. At least that what I would do and would feel comfortable with it.

Question. A pc comes with 95,98,or W2k installed from the pc manufacturer. That is an OEM license.

When that person wants to upgrade to XP, would they purchase an upgrade under open license agreement or would they need to purchase a full?
