AFAIK, the modutils upgrade is required because the path to the
modules directory is different in 2.4.x (/lib/modules/2.4.x-x/kernel/*)
Haven't faced any problems with the anything else..so far :)
Building new kernel fails if you use 2.4.2 provided by redhat.
The one's from kernel.org work fine.
