This is what I would recommend as well. I’ve had experience migrating a few v2 sites to v3.
Generally what I would do is take a backup of the v2 databases and restore them into your VM, then upgrade them to v3. Create a VM matching the SharePoint version and service pack of the old site, and use maybe, SMIGRATE to get the content from current server to this 2003 VM. Then.. perform the upgrade of this VM to 2007, and then you have a VM with a 2007 version which you can use STSADM -export , SPD or a number of methods to perform the transfer to your clean, new 2007 production system.
