Could you let us know just which IM version this applies to? I just tried a stand-alone run of IM 6.0.0 (ie not using lyx) and it seemed to work fine. My command line was
c:\ProgramFiles\IM6\convert -crop 0x0 -density 110x110 -transparent #FFFFFF graph.eps graph.gif
(If this is right, it means that you don't have to go all the way back to the 5.x series to get a working IM).
