You use ADB port forward over USB for USB tethering. No rooting of the phone required. The "client" software is the OpenVPN client for your respective platform with a special configuration file. Hardest part is installing ADB and OpenVPN client on the client, copying the config file and writing a two line script to start it all up. It worked well back when I used it and I even had OpenVPN to a remote server tunneled within OpenVPN to the phone and I didn't notice any problems.
