Dibawah ini terlampir sebuah iide proposal bisnis untuk dipertimbangkan.  Mohon maaf dibuat dalam bahasa Inggris, (sengaja memang) supaya rekan kita yg jurusan internasional, dan mereka yg memang orang asing tetapi alumni MM, dapat mengerti.  kan alumni MM UGM itu berasal dai manca negara dan berada di manca negara juga, yg saat ini kita semua dipersatukan secara virtual dengan kemajuan IT.  Ini hanya ide dasar saja, detailnya dapat kita explore nanti bila proposal ini berterima dihati (dan berterima dipikiran juga tentunya). Istilahnya, does it make sense to explore?..... Exuse my english if it is not proper enough.
Ijinkan saya mengucapkan SELAMAT NATAL 2004 bagi rekan-rekan yg merayakannya, dan SELAMAT TAHUN BARU 2005 untuk kita semua.  Semoga tahun baru 2005 memberikan harapan-harapan baru, sukses-sukses baru bagi kita semua baik dalam pekerjaan kita maupun dalam kehidupan individu kita masing-masing.

A BISNIS PROPOSAL  

(Draft only)

 Introduction

First of all, being new to the alumni of MM-UGM, I might be not aware that such the following business proposal might have been proposed earlier or even have been implemented in the current alumni network.  If it is so, please accept my deepest apology for such my non-awareness and just delete this email from your inbox, however if such kind of business has not been existed in our current alumni network, it might be worthy to think it over and consider.

Background and fact

As per latest statistic (as far as I know), member of alumni of MM UGM as of today has reached to approximately 3200 persons. The member itself consist of thousand variety of individual talent and expertise, which is spread across the country (and even overseas) in many layers of professions, occupations either it government sector, private sector, entrepreneurs or in any other field of profession. From an economic point of view, for sure this unlimited resources could be a huge potential to explore. So why don�t we do something on it? Based on this simple background and fact, I would like to draw your attention to think it deeply for possibility to explore and make it happen.

What is it?

The purpose is to set up a new business entity for the member. We could discuss later the proper form of the new business either it in the form of cooperation, PT, Yayasan, or any other form. See what is the pro & cons, strength and weakness, and then choose the most suitable form to our alumni network characteristic especially towards the current trend of virtual society which had made people become borderless in any aspect of our human life, therefore,  the form of our business entity should be able to accommodate such borderless & virtual society.

What is the mission & vision of the business entity?

As per theory, the mission is to answer the question of �why we exist or why do we need to set up the new business entity, what is the urgency of doing so?, meantime the vision, is to answer the question of � what we want to be in long term?.  Therefore the Mission will be: To help the alumni member (MM alumni), to improve the quality life of the member, economically, spiritually and emotionally.  The Vision : To establish a proper, professional business entity, that can sustain in long term, and through this business entity could help the alumni to build, improve their human being quality of life. We want his new business entity in long term (at least in the next 25 years) could grow as one of the reputable & professional business player in Indonesia.

What is the form of the new business entity?

Personally, I prefer to choose cooperation (koperasi) as the form of our business entity. Why koperasi? And why not the other form such as PT, Yayasan, etc?.   Frankly, I opine, Koperasi will be more suitable to our current network condition, also because the simplicity to manage it, and due to the fact which has shown that Koperasi can grow to be a  key player in many countries such as in Singapore, the biggest department store there (no need to mentioned the name) is owned by Koperasi,  in Europe, Koperasi also can own companies that operate internationally.   In local scope, I knew one alumni from one of top university in Indonesia, also formed a Koperasi as their business entity, and so far it runs pretty well and profitably.  However this is just a personal opinion.  If other colleagues find other better form, why not. Let�s explore it.

What is the core & line of business of this proposal?

At the first stage, as a learning stage for our group, it probably more prudent to invest in a less risky investment, short term and medium scale such as time deposit, government bond, reksa dana (the proper one of course), etc, Later once we are ready, once our cash is sufficient and once we are confidence enough, we can diversify our line of business in a more variety unit of business.

What is the detail and how to make it work  (a glance)?

Take Koperasi as the example of our business entity form. Following is some basic calculation with its assumption:

  • Assume out of the current alumni, 2/3 join new business entity, there will be around 2100 persons.   If the initial investment per person (tabungan pokok) or whatever you call it later, is Rp.  500.000, therefore there will be around 1,05 billion rupiah available as the initial investment for the new business entity.  I guess this amount should be a fair cash amount to start a new business especially for a type of cooperation.
  • Every year there will be around 300 new graduates join the alumni, and again if 2/3 join the business, another 100 million rupiah per year will be added to the investment.
  • If the average rate of return per year take as 10% (conservatively) within the next 10 year, the new business entity will have more than 3 billion rupiah (For the shake of calculation and to make it simple, time value of money has not been included in the calculation yet).

Who should manage it ?

As mentioned earlier, we have so many expertise and talents available in our network, let make use of those talents productively and professionally.  We have investment expertise, lawyer, professional marketers, business consultants, (just name it, we have them all), it is just the question how to manage it properly, professionally and prudently.   Following are hints of the idea:

  • We will select what we call as dewan pengurus/pelaksana (say 10-15 persons) based on their competency (a competency based selection) which is proposed & supported by at least 20 persons.  Portfolio of each candidate will be comprehensively exposed to member for their proper review and selection.
  • There will be a fair and agreed �managing fee� for the selected dewan pengurus, either it monthly or yearly basis.  However for the clerical staff, it is better to hire it from the market as a professional daily staffs.
  • The type of investment e.g. : time deposit, SBI, Bond, reksa dana, stocks, etc, will be proposed and executed by dewan pengurus, however there will be a clear guideline which will be agreed by the �rapat anggota� as the ultimate decision maker, in a yearly business plan
  • There will be a regular report (on monthly basis) from the management to the member on their performance, balance sheet and P&L, as well as business plan.  Every alumni member (anggota) have the right to ask and get proper answer from the management on the issued asked.
  • Share/investment will be limited to one share only per person which further means that his vote (hak suara) for each member will be limited to one vote only, this is to avoid of one member monopoly the forum.
  • There will be a yearly �pembagian hasil usaha�  to the member, which will be decided by the �rapat umum anggota�.

Do you think it will work and who will monitor and make sure that our money will not be mis-used or taken away by the dewan pengurus?

  • Again as described earlier, our business entity will be managed by a professional team who are tied not only by their professionalism, but also by their emotional relationship within the alumni network.  The process selection for the management team will be carried out properly (fit and proper due diligence).
  • A monitoring team (whether you called it dewan pengawas, or what ever) will be established, which consist of representative from each batch.  This representative at least through his link with his batch member could make the monitoring mechanism more diverse and balanced.
  • If it is required, in worst condition, a third party independent auditor could be hired to conduct an independent audit on special task assigned by the �rapat umum anggota�.

Do we need to use the name of alumni MM-GMU to facilitate this business entity?

Yes, because all of us are tied by the spirit of being member of alumni.  Such unique tie, could glue our relationship in a stronger way, emotionally & professionally.

Is the membership transferable?

Basically, the membership is for the alumni member (one member for one share and for one vote only), however if something happen to the member, his/her heirs could take over the membership, why? Because this is a long term business plan and we want this business entity could sustain hundred years to come.  So there must be a take over mechanism for the membership.

What is the worst scenario?

As usual, in this world, there is no a 100% free risk thing,  as human being, we are talking about what our finance experts colleagues says as  �calculated risk.�. If thing go �unmanageable, unpredictable, uncontrollable� or thing just go beyond our control as human being, than the most we loose is our share/investment of 500,000 rupiah per person.  But being professional, do you think it can happen?  The answer lies in your heart. As it will depend on your effort to make it not happen�

Closing

So guys.. with such a brief frame of thinking as described above (even though it is just in a very glance only), don�t you agree that this is potential and prospective business to explore for our network? Do we have a gut (dare) to explore it and make it happen?.  The answer lies on our hand.  I would like to close this proposal with an encouraging story.  It was told that there was a 9 years old boy at one day try to tease his grand father.  He had a small bird at his hand,  and once he saw his grand father approaching him, he hide the bird at his two hand at his back and ask his grand pa.  Grand pa!, I have a bird in my hand, please guess whether the bird is still alive or dead. The grand �pa looked to his grand child eyes, and knew that he was just trying to tease him only.  If he said that the bird is still alive, he may kill the bird and show to him that it is a dead bird,  however if he say that the bird is a dead one, he will show him that it is still alive, so with his wisdom, he answered his grand child, .. my boy, whether the bird is still alive or dead, it is up to you, � Hopefully the analogy of this story could inspire you to answer/respond to this business proposal� adios.
