The one physical and 4 virtual means he can have one 2008 host and 4 new 2008 Servers VM'd, simply changing a 2003 Server that's VM'd from VMWare to Hyper-v should require no additional licenses other than the host OS.
If I understand the OP, the question was if moving a Windows server that is VM'd from an ESX host to a 2008 Server host would require any additional licensing other than the one 2008 Server Hyper-V host.
