I understand this interpretation but then the table does not seem 

consistent: "The moving TSC member cannot continue as a TSC member IF the 

total number of TSC member exceeds the agreed number".  In what situation 

would the total number not be exceeded?  And if the TSC member continues 

in this unusual case, then he/she isn't stepping down, which means that 

the operator can't fill their seat.

Thanks for the comment.  I thought that the proposed text (given the 

principles) covered the case, maybe you see something that I miss:

 

The proposed amendment indicates “That TSC member may remain a member 

unless: 1) the moves places the member in conflict with the TSC 

composition rules” and that the current composition rules state:

-          Size and structure 

o   The TSC shall consist of  eighteen (18) seats 

o   Nine seats are reserved for operators

 

Please note operators is defined as a specific set of companies

Meaning that such a move would violate the current composition rules -> 

hence the moving TSC member would be considered to have stood down.

 

Is there a way to make it clearer (I hesitate to draw out a specific list 

of scenarios in the text as that is when I thought we may miss a case)?

One case that wasn't in Chaker's list, but might trigger some discussion 

would be:



 An elected TSC member representing Operator A takes a job with a Vendor A 

that does not have a representative on the TSC.



As written, the charter proposal says that the TSC member keeps his/her 

seat and Operator A would be without a representative on the TSC (until 

the next election cycle).  However, the table in the top of the document 

states otherwise (Operator A can appoint a new member and the TSC member 

might keep their seat if the TSC numbers are not exceeded).



We need to sync up the charter language with the table, if the table is 

what we intend.
