Clean installs are always preferrable as they tend to be
more stable than simply upgrading a current installation.
Make sure that you have run the WinXP system compatibility
utility and have taken steps to deal with any potential
conflicts it identified.

The corporate edition of WinXP is for system administrators
who have to install XP on large numbers of PCs. As such, it
does not contain the product activation scheme and therefore
is not available to the general public. If you find it on
the Internet, it is most certainly a pirated copy.
