has been a long journey, but I believe that we finally arrived to a safe

[Wikimedia-l] Clarifications on 2014 Form 990

Hi all,

We’ve heard your questions and want to address them broadly, as well as
provide more information about the breakdown of Sue’s compensation during
this time. We understand the confusion related to this recent 990, given
the period it covers, and the aggregate amounts it reports. Below you’ll
find additional information about the nature of our contract with Sue, the
timeframe, and her work and compensation. I expect this will help resolve
this conversation. As Chair, I am completely comfortable with all terms.
Sue was a great ED and brought real value in exchange for her compensation.

Background

In re-reading Jan-Bart’s original email [1] where he stated that Sue was
staying on as an advisor, it isn’t explicit that this was a paid position.
We should have been more clear on this point. It is understandable that
people wonder why Sue was not listed on the page of staff and contractors.
However, everyone listed on the staff and contractors page report up to the
ED. Sue did not report to the ED; she was accountable to the board chair.
That's why she was not on that page.

On the issue of compensation: We handled Sue's compensation the same way we
do with other individuals: it is disclosed in the 990 as appropriate, and
not elsewhere. That's our normal practice. This is true for a variety of
reasons, including the fact that the results are certified through our
external auditors. Other reasons include that it is a transparent
mechanism, consistent with other large charitable organizations, and a
matter of permanent, public record. The Foundation also wouldn’t normally
announce the salary or contract compensation at the time of bringing
someone on; that includes special advisors.

We also don’t usually share the specific details of people’s compensation
beyond what is published in the 990. However, the 990 can be confusing,
especially when compensation levels change mid-year, and so in this case we
(including Sue) are happy to clarify the specifics.

Timeframe

One point of confusion is for the period this compensation covers. This is
reasonable, this confused even some of us involved in preparing this
response. Although the majority of activities reported on the Form 990
cover the Foundation’s fiscal year (specifically, the six months between
July 1, 2014 - June 30, 2015), the IRS requires that details about
compensation for certain highly-paid individuals are for the full calendar
year in which the fiscal year begins or ends. So all the executive
compensation reported is for twelve months, from January - December 2014,
even though some of it it falls outside the fiscal year reporting (July 1,
2014 - June 30, 2015).

Since Sue was on payroll during the 2014 calendar year, this means that the
990 contains her total compensation for the whole year, includes Executive
Director salary, bonus, and special advisor work, at differing levels
throughout that period.

Total compensation

The total compensation ($301,341) reported in the 2014 990 form is broken
into three areas:

(1) Compensation for her role as Executive Director during the 2014
calendar year (January 1 - May 31 2014): $107,174

This number is Sue’s regular compensation as full-time Executive Director,
before the appointment of the new ED. This is for the 2014 calendar year
period of January 1 - May 31, 2014. It does not include compensation for
any of her efforts following May 31, 2014.

(2) Retention bonus to compensate Sue for lost opportunities during the
transition period: $165,000.

Sue informed us of her intent to step down in March of 2013, but agreed to
stay on until a new ED was identified. In August 2013, the Board of
Trustees approved a one-time retention bonus to compensate Sue for lost
opportunities and for her willingness to remain with the Foundation during
an important transitional period. Sue continued to serve as Executive
Director for more than a year after announcing her resignation, even though
she could have sought opportunities elsewhere. In addition to her other ED
responsibilities during this time, she led the creation of a transition
plan for the new Executive Director and supported the search process.

The Board discussed this agreement with Sue over a few months before
reaching the agreement in August. This is a standard practice used to
compensate individuals for lost opportunities and ensure organizational
stability during transitional periods. The Board and Sue agreed she would
receive this retention bonus after the new ED had started.

(3) Compensation as Special Advisor between June 1, 2014 - December 31,
2014: $29,167.

Sue agreed to serve as Special Advisor to the Foundation for a term of one
year after the new ED started, from June 1, 2014 - May 31, 2015. The Board
felt that it was important to have Sue’s knowledge and experience at hand
to support the Foundation as it went through an executive transition. In

[Wikimedia-l] Wikimedia Foundation executive transition update

Hello all,

I’m happy to announce that the Wikimedia Foundation leadership team has
proposed an interim Executive Director, and the Board has given our full
support. Starting on March 14th, current Chief Communications Officer
Katherine Maher (https://meta.wikimedia.org/wiki/User:Katherine_(WMF)) will
step into the role of interim Executive Director. We thank the C-levels for
their careful consideration in this process, and Katherine for stepping up
during this period of transition.

In choosing an interim ED, the C-levels started by identifying immediate
priorities for the coming months, including building trust, improving
communications, and filling key leadership positions. They felt, and we
agree, that Katherine is the right person to lead the organization while it
addresses these and other important issues. Additionally, this will allow
the rest of the executive team to focus on critical organizational
functions, including community and engineering management, fundraising, and
strengthening our human resources function. You can read more about our

Katherine has been with the Foundation as Chief Communications Officer for
about two years now. During that time, she has developed a versatile and
effective team that serves the needs of the organization and movement,
collaborating closely with other departments and the community. She has
thoughtfully introduced new capacities and led her team through
transitions, and played a critical role in shepherding the strategy process
and the annual plan, in collaboration with other C-levels. She is known for
listening to and empowering the people that she works with.

For those who don’t know Katherine, she’s been a longtime advocate for
global open communities, culture, and technology. She previously led
advocacy for the international digital rights organization Access Now,
where she worked on freedom of expression, access to information, and
privacy. She has supported the efforts of citizens and governments around
the world to deepen transparency and participation in her roles at the
World Bank, National Democratic Institute for International Affairs, and
UNICEF (where her team built wikis for youth participation in major global
issues). She is a member of the advisory board of the Open Technology Fund.

With interim leadership in place, our next step as the Board is to move
quickly to plan and implement the search for a permanent Executive
Director. We will be working together over the coming weeks to clarify
roles and responsibilities in this search, and identify the best way for
community and staff to participate.  We want this process to be inclusive
and incorporate many voices. We look forward to sharing an update on our
progress toward the end of next week.

As interim Executive Director, Katherine will report to the Board. Geoff
Brigham will continue serving as Board Secretary, and Jaime Villagomez as
Board Treasurer, reporting to the Board in those capacities. As of March
14, Katherine's reports include the C-team: Geoff Brigham, Jaime
Villagomez, Maggie Dennis, Lisa Gruwell, Joady Lohr, and Wes Moran. The
Communications team will continue to report to Katherine for the time
being, with support from the leadership of Juliet Barbara and Heather
Walls.

[Wikimedia-l] Appointment of María Sefidari to Wikimedia Foundation Board

Dear all,


I am happy to announce the Board intends to fill the open community Trustee
seat at our meeting this weekend. On Saturday, María Sefidari will accept
an appointment to the Board of Trustees, stepping into the third
community-nominated seat. The appointment will last the remainder of the
two year term, until Wikimania 2017.


Many of you know María. She previously served as a community-selected
Trustee from August 2013 to July 2015. In the most recent 2015 community
elections, she received the next highest support percentage, and highest
number of support votes. She was born and lives in Madrid, Spain, and has
been a contributor to the Wikimedia projects since 2006. She was a founding
member of Spanish Wikipedia's LGBT Wikiproject, Wikimedia España, and
Wikimujeres Grupo de Usuarias. She has also served on the Affiliations and
Individual Engagement Grants committees. María is passionate about the role
of diversity in our strategic efforts to retain and increase editorship,
and improving channels for community participation in Foundation governance
and policymaking.


We consulted with the 2015 Wikimedia Foundation Elections Committee before
deciding how to proceed in identifying a new Trustee. They offered
thoughtful feedback on the possible available options, and we’re grateful

We are certain many of you are wondering why we decided against holding
another election. We did consider the option, but the disadvantages
outweighed the benefits. The last election was well-attended, and still

that the community perspective is fully represented in these conversations,
without delay. We also didn’t want to distract from the affiliate Trustee
selection process, which is coming up soon.


I am excited by the dedication, compassion, and experience María brings to
the Board at a crucial time. We are confident she will serve our mission
with wisdom and grace.

Throughout the discussion about the appointment of Arnnon Geshuri to the
Board of Trustees, the Board has carefully listened to you and discussed
internally. Earlier today, Arnnon decided to step down from the Board. To
paraphrase his words, he doesn't want to be a distraction for the important
discussions that the community and the Foundation need to face in the times
to come. We want to thank Arnnon for his ongoing commitment and for helping
us to move forward.

The Board Governance Committee is working to improve and update our
selection processes before we fill the vacancy left by Arnnon’s departure.
We are sorry for the distress and confusion this has caused to some in our
community, and also to Arnnon.

Thank you to everyone who responded to my email about the Board’s recent
decision. We recognize this is the Board's first removal of a sitting
Trustee, and that has led to questions and perhaps some confusion.

I wanted to provide you with some additional information in response to the
discussions on this thread. As many of you know, we did not intend for the
decision to become public the way it did. We planned to have a discussion
and decision in the meeting, but could not be certain of the outcome ahead
of the final vote. Since the meeting, we have taken our time to work
together to make sure the information we share will be accurate,
respectful, and informative to the greatest extent possible. At the same
time, there is a limit to what the Board can share. We have fiduciary
duties, which include Board confidentiality, and we must respect them in
this decision as we would in others.

I want to be very clear that the Board decision was not about a difference
of opinion on a matter of WMF direction or strategy between James and the
other Trustees. Over the course of the past few months, the Trustees had
multiple conversations around expectations for Trustee conduct,
responsibilities, and confidentiality. Ultimately, the majority of the
Trustees came to the opinion that we were not able to reach a common
understanding with James on fulfilling those expectations. We have a duty
as a Board to ensure we all abide by our roles and responsibilities as an
essential condition for effective governance. I also want to reaffirm that
this decision was made internally, by the Board, without any outside
influence, and according to the process outlined in our Bylaws.

Under the Wikimedia Foundation’s Bylaws, and, in accordance with Florida
law (where, as a 501(c)(3) charity, the Foundation is registered), members
of the Board who are selected through community or affiliate elections are
then appointed to the Board by the existing members. Since all members of
the Board are appointed by the Board itself, the Board retains the ability
to manage its composition as necessary to maintain the working environment
required to be effective.

As someone who was appointed through a community process, I understand how
important it is to have strong voices from the community on our Board. I
want to be absolutely clear that this decision does not change our
commitment to engaging with a diverse, talented, opinionated, and
representative group of leaders to serve on our Board. It also does not
change our commitment to encouraging and hearing different voices on
direction and strategy.

We are working with the 2015 Elections Committee to fill this vacancy with
a member of the Wikimedia community. This is a top priority. More
information will be available once the Board has had a chance to confer
with the 2015 Elections Committee.

From our viewpoint, our actions around the removal are concluded. We
sincerely hope that James will continue to be an active, constructive part
of the Wikimedia movement. I personally look forward to continuing
collaboration with him.

Dear all,

Today the Wikimedia Foundation Board of Trustees voted to remove one of the
Trustees, Dr. James Heilman, from the Board. His term ended effective
immediately.

This was not a decision the Board took lightly. The Board has a
responsibility to the Wikimedia movement and the Wikimedia Foundation to
ensure that the Board functions with mutual confidence to ensure effective
governance. Following serious consideration, the Board felt this removal
decision was a necessary step at this time. The resolution will be
published shortly.

This decision creates an open seat for a community-selected Trustee. The
Board is committed to filling this open community seat as quickly as
possible. We will reach out to the 2015 election committee

to discuss our options, and will keep you informed as we determine next

Thank you all for your nice words. Just to follow up Jan-Bart's email I'd
like to add that today were officially apointed to the Board the recently
elected Board members: Dariusz Jemielniak, James Heilman and
Denny Vrandečić. Please, join me in congratulating them as well.

And also to thank the work and continuous commitment with the Wikimedia
movement of Maria Sefidari, Phoebe Ayers and Samuel J. Klein, who left
today the Board but we all know that they will continue working along with
our community.

And thank you, Jan-Bart, for leading the Board in these past two years of
changes and transition. You did a great work!

 It is with great sorrow that Wikimedia Italia announces the death of
 Alessio Guidetti, better known on the projects as Cotton. He has been
 treasurer of the organization for about five years, from 2009 until last
 April.

 Alessio started to contribute to Wikipedia at the end of 2006: after a few
 months he became already a sysop. He was a tireless translator of English
 articles in the most diverse fields, and also part of the small group of
 the patrollers -and, indeed, he continued his precious work until the last,
 even if invisible for most of the editors.

 From the moment he joined Wikimedia Italia, Alessio was very keen to
 contribute effectively, guided by his well-known pragmatism. He run for the
 Board: as soon as he was elected, he took the role of treasurer, a
 difficult task and a fundamental one for us but little recognized. It was
 Alessio who took care of the most delicate and complicated tasks, and he
 did so in the years during which Wikimedia Italia was starting to grow big,
 the years of our quantum leap.

 This spring he decided to not run again for the Board, but he kept
 collaborating with his successor for an effective -and not only formal-
 handover. He took care of the accounting, donations and employees'
 paychecks till his very last days. He has been an incredible help:
 trustworthy, precious, always ready for a joke.

 Alessio has been a pillar of Wikimedia Italia: his pragmatism, his
 hardworking disposition, his sense of humor were, and are, a part of our
 organization. A part of how it was born and how it is growing. A part of
 what we are.

 Wikimedia Italia is close to the family and the friends of Alessio in this
 grievous moment.

 We will terribly miss him.

[Wikimedia-l] Board decision on FDC member appointments

We are pleased to inform you that the WMF Board of Trustees has come to a
decision about which four candidates to appoint to the FDC. It wasn't easy;
as is evident from the nominations, the caliber of the candidates was very
high. The resolution is now published in

We have selected four appointees as follows:

On behalf of the Board, we want to thank Anders, Arjuna, Mike and Yuri for
their service to the inaugural FDC. We deeply appreciate the two years they
have served the committee and all the work they have done during four
rounds of FDC recommendations. They have helped to shape the FDC itself,
made critical decisions about how to strategically direct movement funds,
and helped to shape the future of the movement. We hope they will continue
to remain engaged in the FDC process and the movement in different ways in
the years ahead.

We also want to thank all the candidates, and encourage them to consider
re-applying for the committee next year, when five new members will be
elected to serve on the committee.

[Wikimedia-l] Board approval of the FDC's 2013-2014 Round 2 recommendations

Dear friends in the Wikimedia community,


After meeting face-to-face in May to deliberate on the four proposals
they received for the 2013-2014 Round 2 annual plan grants, the Funds
Dissemination Committee (FDC) posted their funding recommendations to
the WMF Board of Trustees. [1]

Four proposals were submitted in this round, and one of them (the
Wikimedia Foundation) did not receive a dollar allocation. Funding
requests from the three other organizations (Centre for Internet and
Society, Wikimédia France and Wikimedia Norge) this round totaled
US$1,555,953.

The funds available for movement entities through the FDC process in
2013–2014 was US$6,000,000. Of this, $4,432,000 was allocated in Round
1, leaving $1,568,000 for Round 2. In this round, the FDC has
recommended funding allocations totaling approximately $1,235,062. The
remaining approximately $332,938 will be returned to the Wikimedia
Foundation's reserves. The recommended allocation for the WMF is
excluded from this, as it includes the next year's budget for the
Wikimedia movement as a whole.

I am pleased to share with you the news that the Board of Trustees has
made the decision to approve the FDC's 2013-2014 Round 2 funding
recommendations in full. [2] These funding recommendations will now be
implemented by the Foundation.

Many people have put in significant work to make this process a
success. As the Board Representatives to the FDC, we would like to
thank the Round 2 applicants themselves, the Funds Dissemination
Committee members and staff, and the members of the community who
participated in the community review period. We congratulate the
applicants and look forward to learning more about how their annual
plans progress.

Yes, we considered the FDC assessment on the WMF proposal, and we are
still discussing the implications. Anyway, we had a strict deadline to
approve the funding allocation and thus we decided to separate those
discussions.

  Wikimedia Bangladesh has been registered under the Societies Registration
  Act of Bangladesh  our official name is Wikimedia Bangladesh Foundation.
 
  The registration process was a very long and demanding one, but our
  perseverance and determination finally prevailed. It has become very
  difficult to get registration of a society/foundation in Bangladesh as
 the
  incumbents have to have security clearance from the National Security
  Intelligence (NSI) of Bangladesh, which is very difficult to get if not
  impossible. In the course of dealing with the registration process of
 WMBD,
  I learned that less than 5 applications for registration as societies get
  approved out of every 100. We submitted our application in May 2012 and
 it
  took us a little over two years to get the security clearance from NSI 
  complete all the bureaucratic process!
 
 
  It gives us a great sense of achievement that we could uphold the
 Wikimedia
  movement volunteerism spirit with passion, integrity and professionalism
  despite being a small volunteer community. The pending registration issue
  could not hold us from doing outreach activities locally  taking in the
  greater Wikimedia Movement. We organized some excellent programs,
 workshops
   meet-ups with our limited resources during this time period. This
 effort
  successfully brought in good number of new contributors to Bengali
  Wikipedia  increased the article count. Volunteers from WMBD/Bangladesh
  are also actively participating in the international Wikimedia movement
 by
  taking part in discussions, conferences  as committee members in
 different
  Wikimedia committees.
 
 
 
  We, as a chapter, want to make small but steady steps towards sustainable
  progress in fostering the Wikimedia movement in Bangladesh so that we can
  make the sum of all human knowledge accessible to the people of this
  region.

confidence that encourages me to work harder and better.

Congratulations, Frieda! I'm really happy to share with you this
responsability and I'm looking forward to work with you in the Board.

I also need to thank Alice for her work and commitment. I have the
privilege to be her friend and I've learnt a lot from her in these two
years. I will miss you in the Board.

Last, but not least, thanks to Anders for having the courage to nominate
himself and bringing his views and his opinion to this process.

 Another aspect that URAA does not pay attention to is the fact that many
 works remain unattended. When talking about books, it means that they are
 not reprinted and are not available anymore. But it does not mean that
 somebody could just reprint them in order to make them known to the
 public. In that way people can neither buy copies of works nor make them
 themselves. Who is profiting by that? In other cases, photographs,
 pictures, rolls of film, etc., just sit rotting -literally in some cases-
 in storerooms, not only forgotten, also forbidden. Is there any benefit
 from it?

 So, in spite of all legal terms, we, the Wikimedians from Spain, support
 not just our Israeli companions, but the right of all the Human Race to
 have a chance to enjoy what has been done by authors. And so we expect the
 Wikimedia Foundation, as a provider of free knowledge sources, will do
 their best and fight for the shortest copyright terms possible, restricted
 as closely as possible to the author's lifetime.

 generated article of a butterfly

 The bot behind this article is Lsjbot who creates articles from the database
 Catalogue of Life
 http://www.catalogueoflife.org/services/res/2011AC_26July.zip which
 (complemented by other databases) which holds data of around 1.5 million
 species. The bot genrates about 5000 new articles per day and has generated
 just under 400 000 of the sv:wps million and continues...

 The guy who runs he bot is a member of the Swedish chapters board
 http://se.wikimedia.org/wiki/Kandidater_2013/Sverker_Johansson and is in his
 civil life a University teacher. In this capacity he is also a guest
 lecturer at the university of the Phillipines where he stayed the last
 couple of months (and the bot was on hold). He is there active in
 Cebuano-Wikipedia http://ceb.wikipedia.org/wiki/Unang_Panid and supporting
 their local community, and he is now running his bot on their wikipedia as
 well as on the Warai-Warai Wikipedia
 http://war.wikipedia.org/wiki/Syahan_nga_Pakli. So perhaps at the end of the
 year these two language versions will also pass the 1 million mark!

The answer comes from the Board representatives at the FDC but
obviously it reflects an ongoing discussion of the full Board. I agree
with you that the framework should be clearer at this point, and we
(in this case we means Board and staff) will work to make it more
accurate.

 If the appeal report was part of the considerations of the board, it would
 have made sense to me to refer to it in the resolution. Also it would make
 sense to me if there was a link tot he appeal and the report following that
 appeal on [2], but that is mostly a matter of convenience and having the
 information together of course.

Yes, you are right, and perhaps that is my fault. I thought that
anyone who was following this issue would know that report in advance.

[Wikimedia-l] WMF Board approves FDC's 2012-2013 Round 2 funding recommendations

Dear members of the Wikimedia community,

As you know, on April 28, the Funds Dissemination Committee (FDC) made
its Round 2 funding recommendations to the WMF Board of Trustees. [1]
From the four proposals that were submitted in this round, the FDC
recommended that two of these movement entities receive a total of
$665,000 USD: they recommended $140,000 USD to Wikimedia Norge and
$525,000 USD to Wikimédia France.

I am pleased to share with you the news that the Board of Trustees has
made the decision to approve the FDC's 2012-2013 Round 2 funding
recommendations. [2] These funding recommendations will now be
implemented by the Foundation.

Many members of our community provided significant and thoughtful
input during Round 2. We would like to thank the Round 2 applicants,
the Funds Dissemination Committee members and staff, the ombudsperson,
and the members of the community who participated in the review
period.

We have learned much from this inaugural year of the FDC process, and
we look forward to hearing from you about your experience. The WMF
learning and evaluation team will be reaching out to those that
participated in the process to collect feedback through surveys, and
the ombudsperson will be collecting feedback as well. Learning
collected through these processes will be shared in a report.

Again, we thank you all for your dedication and commitment to this
funding process.

 to the FDC would help everybody to save time and facilitate the choice of the 
 appropriate grant process  :-)

I'd also like to remind that the process for next year's proposals
includes a Letter of Intent as first step, which will allow the both
the FDC and the applicants to work on the proposals four months in
advance to the presentation deadline and hopefully helping to improve
the applications and/or help to decide which should be the choice of
grant process. I hope some concerns expressed in this thread will be
addressed with this change in the process. See

We want to share with you information about the Letter of Intent process
and the FDC schedule for next year (July 2013 - June 2014). As you may
remember, the *Letter of Intent (LoI)* is the first step towards applying
for funds from the FDC, as discussed in the FDC framework [1]. This was not
part of the first year's process, but is meant to be an integral part of
the FDC calendar from this next round (Round 1, 2013-14) onwards. *The
Letter of Intent asks all entities who intend to apply for Round 1 (or
Round 2) to formally state their intention to do so.* In addition, the LoI
now asks applying entities to include a notional dollar figure (or local
currency figure) in the Letter of Intent. Applying entities will be able to
update this amount in their final FDC proposals. The updated Letter of
Intent template will be available on the FDC portal [2] by May 1, but the
sample is here for reference [3].

With the Letter of Intent, the FDC staff can support applying entities in
their proposal process well before the deadline for proposals. We hope this
will remove some of the challenges faced by applicants in the first year of
the FDC process. The FDC can also plan better with a clear understanding of
who intends to apply, and an estimation of the funds requested.

The FDC framework originally stated that the deadlines for the LoI were
June 1 for Round 1 and November 1 for Round 2. However, we are pushing back
the deadline *by one week*, since the community review period was also
extended by two weeks. *The LOI deadline will now be June 8 for Round 1,
and November 8 for Round 2. *

For your reference, here is the updated 2013-2014 Round 1 proposal process

never used there. The fourth paragraph says:

Perhaps you understood:

schedule:, which means a completely different thing. The email was not
intended to send a proposal, but an already fixed calendar, which, by the
way, should not create panic on anyone because the deadlines are in fact
being extended.

 and likely cause a small level of panic. Note that the first date of
 the schedule has been put in less than two months, which is quite
 tight for some chapters (those which operate in large area and require
 board members to gather in person).

 So, while not a big deal per se, not marking such emails properly
 could cause unnecessary tension.

 YES! When this is the default for new users we're going to have to
 re-write all the training manuals to remove many of the current
 wikimarkup-intensive sections. Being able to simplify the instructional
 guides is a very good problem to have :-) It will certainly
 radically decrease the amount of time we need in training workshops to get
 people to a stage where they can go by themselves.

Another question: the spanish speaking community seems to be very
interested in launching a spanish Wikivoyage, even from scratch. As
you can see in http://incubator.wikimedia.org/wiki/Wy/es/P%C3%A1gina_principal,
there are already some contributors (including myself) editing in the
incubator. If there's a http://es.wikivoyage.org, this process would
be easier. What do we need to upgrade from the incubator to the main
site?

Improving transparency is far better that Democratizing WMF,
though governance is not about controlling: is about decision making
procceses, guidance, communications... in fact, is also about
transparency :)

Anyway, despite the title we choose, I really think that this
discussion is necessary, and that we need to improve (or even to set
up) some basic rules and procedures of interaction and decision
making.
