Hi all,
congrats to the elected Board members. It’s great to see people stepping up and 
taking responsibility, especially in times where leadership is needed.

Jackie, may I ask for some elaboration on the subject of this thread? You say 
„most contended … election“ and I wonder what that means. In my understanding 
this is a nuance of controversial and I don’t get the point where it is more 
controversial than any other election. Maybe it gets lost in translation, maybe 
it’s me not having the complete insight of what has been discussed.

[Wikimedia-l] Wikimedia Deutschland: general assembly and new Supervisory Board

Dear fellow Wikimedians,

On Saturday, May 14th, Wikimedia Deutschland held its 27th General Assembly in 
Berlin, the second in a hybrid format.  

Our members elected a new Supervisory Board, which consists of 7 elected 
members:

* Alice Wiegand (chair, re-elected, former deputy chair)
* Daniel Reisener (treasurer, re-elected)
* Nora Circosta
* Christina Dinar (re-elected)
* Jens Ohlig
* Valerie Mocker (re-elected)
* Kamran Salimi

Nora Circosa, Jens Ohlig and Kamran Salimi are new to the board, so please join 
mein welcoming them! 

I would like to wholeheartedly thank our departing chair Lukas Mezger and board 
members Sabria David und Kilian Kluge for the outstanding work and their 
commitment to Wikimedia over the past years.

Renate Duerr and Lenia Zinßer were elected as auditors. My gratitude to our 
departing auditor Sabine Zepp.

The General Assembly voted to change our bylaws to introduce term limits for 
the chair and the treasurer as well as to legally secure the operation and 
decision making for two or more Executive directors. Our members also approved 
changes in our travel expense policy, which is now better aligned with the 
Wikimedia Affiliates Environmental Sustainability Covenant.[1] And the general 
assembly approved changes to our strategy and formally approved of the board's 
actions for the 2 year term and of the Executive Director's actions for 2021.

Another highlight of the day was the presentation, discussion, and adoption of 
Wikimedia Deutschland’s new set of values[2] with diversity, equity, free and 
open access, participation, respectful collaboration and sustainability being 
our six core values. It is based on values that have been lived in the 
association for years, as well as the latest developments in the Movement 
Strategy of the global Wikimedia Movement. As an association, we are guided by 
these values in our cooperation with the Wikimedia movement, communities, 
partners and interested parties. By living these values in its daily work, 
Wikimedia Deutschland promotes human rights in a digital world. All those who 
share these values are welcome in our association.

The new board will reconvene shortly to get started and I am very much looking 
forward to working together with the new team.

[Wikimedia-l] Larissa Borck and Raimond Spekking appointed to the WMDE board

Dear fellow Wikimedians,I am happy to announce that the  Wikimedia Deutschland supervisory board has appointed Larissa Borcka and Raimond Spekking as additional members to the board.Larissa is committed to the digital development of cultural institutions. As curator of digital development for the S?rmlands museum in Sweden, she is responsible for digitisation projects and cooperation with Wikipedia and Wikimedia Commons. On the board, she will bring the perspective of cultural institutions to Wikimedia projects such as Wikidata and Wikibase. Raimond has been a Wikipedian and a Commons photographer for many years, is active in the Volunteer Response Team and continues to develop the MediaWiki software. On our board, he strives to strengthen the community's perspective and contribute his expertise at the interface between content creation and technology. Both will be full members of the board until the next board elections at the general assembly in mid-2024 and we are very much looking forward to working with them.The Wikimedia Deutschland board consists of up to 9 members. Seven members are elected by the general assembly for a two-year term. After the election, the seven board members can appoint up to two additional members to the board. To complement the competences of the board after the elections in May, we were looking for two specific profiles: One in the field of "active Wikipedians"; a person who contributes content to Wikipedia and thus additionally strengthens this perspective in discussions and decisions. And one in the field of ?technology / open structured data?; a person with expertise and a feel for the developments and opportunities of open structured data in the digital ecosystem, ideally with expertise in Wikidata and Wikibase. short update, as announced by Patricio:

Our organization needs stability, it needs a chance to rest for a moment
and to move on with the things that matter at the same time. That’s why the
Board  is aiming for a quick decision about the interim ED.

If you want to make a difference you need to act differently.

We know that our C-level team is doing a great job in managing the
day-to-day-operations and they all have a deep understandning of our
culture, challenges and needs. Who, if not them, knows better what is best
for the organization in this moment. The Board is not best suited to make a
decision about the interim which can quickly be established and accepted in
this situation.

Therefor the board empowers the entire C-level-team to come up with a
solution for the interim question. We leave it up to them how that
decisions looks like. We trust them to think traditional or outside of the
box as it fits to our organization, the Wikimedia Foundation. The
C-level-team needs some time to deliberate and decide. They will present
their result to the board which has to vote on it. We plan to finalize
until the end of next week.

Finding the next Wikimedia Foundation Executive Director is a clear
priority for the Board. To address this challenge, the Board has created a
steering group tasked with crafting the actual job description, planning
and conducting the search, and finding ways to include community
perspectives. This steering group will be regularly consulting with the
Board throughout the search process.

[Wikimedia-l] Community survey to support the WMF ED search starts right now

Hello all,

The ED search steering group has been soliciting input for a few weeks, and
while a few people were fairly vocal about what they were looking for in a
new ED, we decided that we needed more input from a broader range of people
and we want to hear more from our emerging communities. To that end, we
have written and published a survey [1] intended to help us both validate
and prioritize the good feedback we have already received.

Our survey is currently open in the top 10 wiki languages. A sample of
editors from various languages have been invited to participate and we are
also sending an invitations to anyone here and through our networks. Please
participate in the survey and help us to shape the new ED’s profile.

yes, it is. The Board is bridging the time between in-person-meetings since
2014 with monthly hangout meetings. We started with a bimonthly rhythm

Dear all,
the Board has read your messages and is discussing the concerns you have
raised about Arnnon Geshuri’s appointment. We need to consider all
information and we have conversations among ourselves. Arnnon and the board
are listening to your worries and talking with community members,
considering people's opinions and his own next steps.

In the recent round of appointments, the Board identified that we needed
support and expertise in two areas: financial oversight and planning, and
human resources. Kelly and Arnnon were identified through the process,
reviewed alongside other nominees, and selected as finalists based on their
expertise and backgrounds. We all agreed they were excellent candidates and
people, and supported their progress as finalists.

We understand this conversation will continue, and we will continue to
monitor it. However, we want to be clear that the Board approved Arnnon
unanimously and still believes he is a valuable member of the team.

Please see this as a brief update. We owe you a more detailed response, and

Is this really a discussion about the name of a conference or is it more a
discussion about inclusion and exclusion with the underlying question if
this conference, which once was set up as a meeting for the organizations
within the Wikimedia movement, should be open for non-organized Wikimedians
as well. Which would probably be a different conference.

[Wikimedia-l] Thinking about the WMF Board composition

during our last meeting the WMF Board started to discuss its composition
and how to ensure diversity and bringing in the necessary variety of voices
and minds to serve our mission and to support the Wikimedia Foundation.

We want to listen to your thoughts and ideas about Board composition before
we take the dicussion further with concrete bylaw changes. Please take a

[Wikimedia-l] Call for Election Committee candidates

2015 is an election year for the Board of Trustees of the Wikimedia
Foundation <https://wikimediafoundation.org/wiki/Board_of_Trustees> as well
as for the Funds Dissemination Committee

As you may recall the Board has three directly-elected members who serve
for two years. Currently they are Phoebe Ayers (Phoebe
<https://meta.wikimedia.org/wiki/User:Phoebe>), Samuel Klein  (SJ
<https://meta.wikimedia.org/wiki/User:Sj>) and María Sefidari (Raystorm
<https://meta.wikimedia.org/wiki/User:Raystorm>). As in the past years we
rely on an effective election committee to coordinate the elections for us
along with staff support and a Board liaison. Not only do they guarantee
that the election is overseen by an independent body, but they also make
sure that the tremendous amount of work that needs to be done is taken care
of. My job, as this year's Board liaison, is to coordinate the formation of
this committee and to support them in their work while serving as the
primary point of contact with the Board regarding the process..

This is a call for volunteers to serve on the election committee. If you
feel that you can contribute to this committee, please email James
Alexander (jalexan...@wikimedia.org) and give a small summary of why you
think you would be able to help out with this process.

The Committee is responsible for planning and maintaining virtually every
aspect of the Board election. For example, the Committee plans the type of
voting, suffrage criteria, and criteria for candidacy, helps to draft and
organize all of the official election pages on Meta, verifies that
candidates and voters meet the criteria, audits votes to ensure there are
no duplicate votes or other problems, et cetera. You can expect that this
work will take an average 5-10 hours a week with a few periods of relative
quiet and a few periods of heavy work during and after each election (the
FDC and Board elections are planned to be separate this year).

If you decide to join the committee you will have to identify to the
Wikimedia Foundation

because
of the personal information you have access too and must be at least 18
years of age. In addition you cannot be part of the election committee if
you are planning to be a candidate or are planning to support any candidate
publicly.

To ensure we get going as quickly as possible, committee members will start
to be seated as soon as we have 4-5 good candidates with an anticipated
first meeting of Friday April 10th (or soon after, depending on committee
availability). The deadline for volunteers, however, is Friday, April 17th
UTC 12:00.

The committee and staff will be setting up the election pages soon and the
call for candidates, led by a letter from the Board, which will be going
out shortly. If you're interested in running for either the Board or the
FDC, I encourage you to read up on prior elections

amendment for its Bylaws to clarify the wording and ensure its ability to
act especially in situations where a resignation reduces the number of
trustees to less than nine or an officer position is affected.

[Wikimedia-l] Ask your WMF Board member

Hi,

On Sunday next week there will be an "open Sunday" with talks and
sessions, organized by Wikimedia Deutschland. [1]

As a Board member I take the chance to offer a session to "Ask your
WMF Board member". I collect questions in advance of this meeting, add
them to the questions in the meeting and publish the answers
afterwards.

If you have questions for me, maybe especially addressed to me as one
of the Chapters selected Board members, please feel free to add them
[2].

Probably I'm not able to answer all the questions because they are for
example part of the ED's job or because they relate to an area of
interest where other Board members know better. Then it may take a
little bit longer to get the answer, but the question will be heard.

I'm interested in what interests you and it would be wonderful to have
a wider range of questions including those of Chapters and individuals
from all over the movement.

I like the idea of having more opportunities to talk and to try out
different approaches.
That was the reason for Patricio and me to offer a Chapters Lunch Meeting
on Sunday, where we want to talk about the role of Chapters Selected Board
members, expectations, limitations, and the relationship we have. I read
your suggestion like something similar, concentrating more on particular
issues and diving somehow deeper into the subject. And yes, I would be glad
to participate if it matches with my schedule.

[Wikimedia-l] Proposed bylaws amendment

In 2013 the WMF Board of Trustees started to publish proposed bylaw changes
on Meta for consultation with the community. As we want to continue with
this new tradition you find a proposed change at

The Board Governance Committee (BGC) was commissioned by the Board to
prepare the resolution and the BGC present it to the Board at the same time
we publish it on Meta. Now a 10 day discussion phase starts after which the
Board starts voting.

I'm happy to invite you to review and discuss the resolution draft. Please
share your comments on the talk page.

and if it would be only this - bringing process and discussion into
the public again - it is appreciated. Questions on Meta about the
state of the process remained unanswered and I as one of those who are
really interested but limited to the information published on meta,
this mailing list and internal-l, I am still unsure about the current
state of the WCA and I hope that discussions and reports will follow.
Rather here or on Meta than on closed mailing lists.

[Wikimedia-l] Information from the Board about the creation of a travel guide project

Hi all,

the Board of Trustees held a discussion at its Board meeting this week
regarding the creation of a travel guide project. Based upon those
discussions and the current state of the RFC, we would like the
community to continue its discussions for at least 6 more weeks to
ensure all interested parties have an opportunity to express their
views.

During the meeting we discussed many things all of which are important
for the community to understand:

a) We are excited to see this proposal from the community, and hope
the wider community of editors can reach consensus on it.  We are
waiting for the conclusion of the RfC to take a decision on the issue.

b) We are committed to making knowledge freely reusable, and feel
there is room for multiple travel sites to coexist.

c) We feel it is important to be transparent with the community, that
should consensus be reached and a travel project created, the
foundation could support the initial creation of a travel guide
project, but could not provide a great deal of additional engineering
or staff support.  Further technical efforts would have to come from
the community.

on behalf of the Board of Trustees I'm glad to announce the following
statement about the travel guide RfC

Through the RfC, it is clear our community has reached consensus in
favor of the creation of a travel guide. The Board supports the
community decision to create a dedicated project for the collection of
free multilingual travel resources. We believe there is an enormous
amount of space for multiple wiki-based projects with travel content
and welcome the contributions of community members from around the
world.
We look forward to having a project that can provide additional
content for other travel sites to reuse and benefit from, which we
believe this site will do.

As a project supported by the Wikimedia Foundation, it will be subject
to the movement vision, mission, and values, as well as the Foundation
Terms of Use and Privacy Policy. However, like all other Wikimedia
projects, the community of contributors is responsible for the
management and creation of the content, policies, rules, and
governance of the new project. The community will be responsible for
organizing the travel guide project, and once they have put all of the
necessary pieces together and provided them to the Foundation staff,
the Wikimedia Foundation will make the necessary technical adjustments
to support the site. We look forward to a new project and appreciate
the community taking the initiative to make this possible.

As we have reported in a blogpost [1], Internet Brands has filed a
lawsuit against community members, and, in response, Wikimedia
Foundation has filed a complaint against Internet Brands [2]. This
lawsuit by Internet Brands is not going to intimidate the Foundation
or stop the process.

Hi Phoebe,
thank you for your thoughts. I must admit that I don't remember these
discussions and yes, I understand the frustration even more with this
background. Like Bishakha and Sam I will support to publish as much
information as possible before our meetings. I agree that this issue
would have been a good start to do this, and we missed to realize
this. Most of the changes are somewhat cosmetical (continuous
designations, adjustments on former decisions). The change for
secretary and treasurer are critical to get the best of the Trustees
where it is needed and not to waste lots of energy and concentration
on things that are originally grounded and better placed in the hands
of staff. (Personally, I'm just happy to have Bishakha involved as
much in our discussions as any other Trustee without the
responsibility to take notes at the same time.)

Since I've joined the board I've wondered how things are done. And
after having asked lots of questions, peeved my colleagues and found
several places with descriptions for the public but without concrete
directions for the board, I've decided to build a set of rules of
procedures for the board. Since this has to do with processes and
standards to ensure and hopefully improve the board's work the
creation of it will be led by the Board Governance Committee. The
committee has agreed to start with it in 2013.

There will be a Meta page with the BGC's agenda in the next days and
I'm glad to get more input from the community.

Hi all,

not sure if I'm the only one. But too often I've gone mad while seeking for
essential information regarding the Board. If it's dates, composition of
committees, whatever. Some information is on meta, some on the foundation's
wiki, and some is well kept only in somebody's head (whoever that is). And
we are not really good in keeping our own history. It is so hard to find
former compositions, initiatives or fundamental discussions. Could be a
project of its own maybe.

The ongoing discussion started by Lodewijk reminds me of an older idea, a
starting point like a portal. And here it is:

It's quite ugly and only a rough draft yet. It needs helping hands to
become nicer and as informative as you want it to be. And I ask you to
help. Please let me know which information you want to find there. What is
missing, what needs more explanation. Help is appreciated, please feel free
to add items, edit, rearrange and reformat to make it smarter and nicer.

Resolutions, policies and charters as part of the organization's core
decisions are published on the foundation's wiki, and that's fine as far as
they are findable. A lot of other things can and will be done on meta. Both
parts can be collected on the portal and I hope it can help to provide
easier access to what is going on.

I've put the Board Govenance Committe's agenda for the next months on

created with the tasks we start.

There is one thing with some special urgency: we need to find a new board
member to fill one of the appointed seats. That's not easy and we will
reach out to the Advisory Committee, the community and externals to collect
nominations. But what needs to be first is to create a set of requirements,
skills and characteristics the Board needs. With the appointed Trustees the
Board has the opportunity to identify which of these are necessary in the
current composition to amend the Board's skills at a certain stage. Can we
find ways to get more overlapping in what is needed and what is wanted? I
Think in general it's important to find out more about expectations and
ideas of an "ideal Trustee". Help us get a broader picture, share your

member and and we are reaching out to the community for suggestions and
nominations.

The Board functions as a governance body that is ultimately responsible for
the Wikimedia Foundation and its activities, supervises the disposition and
solicitation of donations, and evaluates the organization’s Executive
Director who leads all Foundation staff. As arguably the most influential
and respected organization in the free knowledge movement, the Wikimedia
Foundation and its Board have a great responsibility for setting policy
deliberately and with due consideration for the diverse interests of a

As with any search process we will be communicating with a lot of potential
candidates to see if we are a good match. The Board’s objective is to use
this search to strengthen its competence with regards to board governance,
grantmaking, strategy, and expertise with regions where Wikimedia is trying
to make rapid strides in the growth of our projects.

Board terms are for a two year period. Compared to other boards the time
commitment is very significant. The Board of Trustees meets four times a
year, twice in San Francisco and twice in changing locations around the
globe. Meetings take two days and travel can add another two days to each
meeting. In addition, the Board communicates frequently by email and
Internet Relay Chat (IRC) as it navigates policy issues. This can absorb
4-10 hours weekly. Board members also regularly engage with the Community
through wiki pages.

We think that the WMF would benefit from a Board member who has experience
with organizations that have grown and evolved rapidly, and who understands
how boards can evolve to provide appropriate governance support in these
changing circumstances. Experience with international, community-driven,
consensus organizations is also important as the Foundation would not exist
without the community.

[Wikimedia-l] Wikimedia Deutschland: New Supervisory Board

Dear fellow Wikimedians,

On Saturday, June 22, Wikimedia Deutschland held its 29th General Assembly in 
Berlin, again in a hybrid format.  

Our members elected a new Supervisory Board, which consists of 7 elected 
members:

* Alice Wiegand (chair, re-elected)
* Friederike von Borries (treasurer)
* Jens Ohlig (re-elected)
* Kamran Salimi (re-elected)
* Larissa Borck (re-elected)
* Nora Circosta (re-elected)
* Valerie Mocker (re-elected)

I would like to wholeheartedly thank our departing treasurer Daniel Reisener 
and board members Christina Dinar and Raimond Spekking for the outstanding work 
and their commitment to Wikimedia over the past years.

Axel Zehrfeld and Andreas Ettwig were elected as auditors. My gratitude to our 
departing auditors Renate Duerr and Lenia Zinßer.

The new board will reconvene shortly to get started and I am very much looking 
forward to working together with the new team.
