With that disk, and the CD, you should be able to boot. Or you can create a new boot disk by booting to W2K, and creating one from the install CD. I am not sure why the system does not want to boot from the CD. Having lilo installed on the first hard drive should not affect that, as that is the BIOS, before you actualy access the CD. The only time I have seen a problem with this was with a SCSI controller BIOS that took over the boot setup, and would boot from the hard drive, or the floppy, but would ignore the BIOS settings.
Now, if you want to remove lilo from the hard drive, you can do this by booting from a DOS boot disk, and running "fdisk /mbr". This will replace the lilo loader with the stock Windows boot loader.
