Intel MB with 865 chipset
P4-celeron 2.4ghz
3 Intel 82551 Pro/100 network cards (wan1, wan2, lan)
I am doing a simple failover for the wan's.

No, CP works just fine without squid in a typical setup. Lots of people are using CP right now.
