Ditch Ubuntu - too much for that old hardware.  Go with Trustix, install
the SlimServer .rpm, add the ProFTP daemon package, start the ssh
daemon, install PuTTY on your XP box, and Bob's yer uncle.

I've got the above setup running on an old K6-2 300 w/ 192 RAM.  There
is a delay in Web browsing, understandable for this vintage.   
Otherwise, it works.

FYI: Trustix is a small-footprint, Red Hat based,  Level 3, server-only
package.  I use ProFTP to move files from XP to the K6-2, SSH to
remotely administer the box, and PuTTY as a Windows SSH client.
