HEY - THE ERROR IS SOLVED NOW...

And the guys at Midgard RULE....David patiently sat with me through this
whole thing - and in the end  - deja vu......

David said he will get the issue documented - however for those who are
curious - i had a php4 installation too and by simply changing the order of
the lines in httpd.conf and loading the libphp4.so module last after loading
libphp3.so and midgard.so - it worked

my php4 was not enabled for versiojning....
