Yes, it's possible to create a new virtual machine without a GUI. You
need to use a combination of:

VBoxManage createvm
VBoxManage createvdi
VBoxManage storagectl
VBoxManage storageattach
VBoxManage modifyvm

All details are in chapter 8 of the virtualbox user's manual.
