Because MP3 is already a lossy format. In order to compress the songs, the quality is degraded a bit (i.e. some higher frequency sounds are taken out). It isn't always something that the human ear can pick up on, but if you convert to another lossy format (i.e. .m4a) more compression would be applied and the quality will be further degraded. You might then have a file which is say 256 KBPS AAC, but which sounds a lot worse than that.
