The tray icon will show Not Listening when WinVNC has been unable to open a socket on which to accept incoming connections. WinVNC won't try to open a socket again unless you change one of its settings, at which point it re-reads all its settings and will have another go at opening the socket. This is a known limitation of WinVNC 4b4.
If you start WinVNC while off-line, then go on-line then popping up the Options panel to change something, then change it back, you should get VNC to start accepting connections.
