How could they sell OEM cd's at all if this were the case?

  An OEM could resell the software if they were an authorized reseller and 
repackage the product CD
in a jewelcase as long as they sold any piece of hardware with it such as a HD 
unit for instance.
I've seen this practice done at computer shows all the time. 

How would little mom/pop shops build systems if this were the case?

 The little mom/pop shops could opt out of the OEM program altogether and build 
their
own brand PC from scratch which would be slightly more expensive since they 
wouldn't receive any bulk
software or hardware purchase discounts from the vendors. They would have to go 
out and fetch the parts and
software themselves over the internet or in some cases by snail-mail. 

Only the Dells & HPs etc lock their CDs to the bios.

 I'd think this is because Microsoft had made a deal with Dell and HP to allow 
the OEM's to key their CD's to their
BIOS in a effort to try to reduce piracy since Dell and HP are among the most 
widely known system OEM's on earth
mainly not only in the U.S. but in China and other parts of the pacific PC 
market where software piracy is at an all time high.
