Your answer about used software is correct.  But you may not resell
OEM software under any condition unless you sell the entire machine.
The ability to sell used software is generally limited to retail
copies only.
Also, you may NOT resell volume licenses.  This is strictly forbidden.
 The volume license agreement is made between Microsoft and the
organization and expires unless it is maintained.

Once a qualifying upgrade is installed and the OEM license is applied
it's not resellable separately, it's considered part of the machine.
