If you are trying to up grade do not boot from the disk.  Start the system and 
then insert the cd and the option panel should open up so you can choose 
upgrade.

  Anyway, a full install is much better than an upgrade. It will be more 
  stable and less susceptible to crashes and blue screens. You'd have to 
  back up all your personal data because a fresh install will erase 
  "everything" on the hard drive.
  If you decide to full install, set your PC to boot from the CD drive (if 
  necessary), pop the XP cd in the drive and boot. You'll see if your disk 
  allows a full installation. You'll have a multiple chances to exit 
  before doing the reformat.
