I have had this happen. If you have deleted the project from Flex, but not the files, Flex Builder will still "see" the projects. And if you have tried to place the new project within one of the old projects, it will see your action as "overlapping" an existing project. Or better yet, if you have selected a directory higher in the root, you are also "overlapping" another project at a top-down view.
