Umm, best bet would be to upgrade purely for the fact that you don't have to play hide & seek with your panels. I know in FMX03 every time i test/preview my fla the panels used to go "umm, tired of living in my positions, i'm gonna go have a nap, call me when you need me"
you come back to the IDE editor mode and "wtf!!! whered the panels go??"
Furthermore, the Help is easier to navigate then in the older version, more so as you have access to "Search" :D
Then theres the added benefit of pining your code. If your like me sometimes, and you have a parentMC and inside this you have a childMC which includes your external AS, sometimes you refer to both the parent and child timelines in Actionscript, with pin code you can keep them both open and just alt tab.. instead of going in and out of movieclips (and loosing your position).
The new V2 architecture isn't that great if you ask me, i've cherry picked stuff like eventDispatcher and umm... nup thats it so far.. I find it to mixed and what pisses me off is, if you drag a listbox for example onto your stage, you effectively inherit majority of the v2 architecture. so thats sucky.
I'd upgrade more so for the benefits of a sharper IDE. You don't have to make use of the forms/screens system at all, you can totally ignore this feature (you have to specifically create a document type of this nature.. just like you can with pure AS files - this is still laggy).
I warn you though, FMX 2004 is a bit memory hungry if your own a slow PC ;) in which case, just kick Tony off of Battlefield 1942 and use that PC - as its got to have some nice juice to run that puppy... god i miss that game.
AS1 stuff works fine, i've compiled movieclips that are compatible wiht Flash 5 (Stupid government requirements).
