I admit up-front- this isn't the kind of advice I normally give. Try opening the file on a PC with MS Office. I had this happen for someone with an iMac DV, OS 9.1, Office 2001. I tried on a couple of different macs and didn't get anywhere. When I tried on my PC, it showed the "Conversion in progress" message and then opened. Several formatted text cells were lost, but most of the data was there.
