You might consider POPCon and/or POPCon Pro, available via the link below.  This is 
software that you run on the exchange server; it picks up remote POP3 messages and 
delivers them to a local exchange mailbox. It's been flawless for us.  You *WILL* need 
to be careful if the Exchange server is on a different domain; when the person replies 
to the message, you want to make sure their actual email address is properly 
represented in the reply "FROM" field, etc.

I have done several Exchange servers this way; there are several caveats.  <smallPlug>
