Rick, I noticed that you are using windows (from your classpath "D:\..."). We have been using tomcat 3.2 and jboss2.0 final in the way you were trying too, i.e. jnp-client.jar and you own classes in the your webapp lib directory. It works fine. I just tried to do the same under windows 98 (but with tomcat 3.2.1) and get the same problem you describe. Could it be windows or the windows jdk or the windows startup batch files??? I'll try the 3.2 version we are using under linux on windows too and see if i still get the problem (although one of the posts says it fails with lots of tomcat versions).
