If you're a do-it-yourself kinda person, Nolo Press has legal 'guidebooks'
that will walk you through most of the common business procedures (incorporation,
bylaws, stock options, etc).  It's a LOT cheaper than a laywer.  They
run about $30, IIRC.  You can buy a handful of them and still be cheaper
than your first hour with the laywer.

In my experience, even WITH a laywer, you really need to have a basic
understanding of this stuff, so the guides are worth the money even if you
eventually to hire a laywer.  The laywers will, at best, do a marginal job of
explaining it to you.  At worst they will totally confuse you.  In our case,
after reading the books, we usually find it's quicker and easier to do it
ourselves.
