As a new and unanointed member of the SDCS board, I just got a copy of
the minutes of the SDMUG board, from their meeting earlier this
evening.
Looks like they SDMUG are getting ready to secede from SDCS.

SDMUG Board Meeting - Special Meeting
Round Table Pizza, University City
Present: Dennis Baros, Sarah Baros, Adam Christianson, Mike Ivers,
Rory Ivers, Daly Jessup, Claude Mathis. Mac McAvenia, Juan Salazar
The meeting was called to order at 6:30 P.M.
Claude will send an email to the SDMUG membership tomorrow about the
vote to be taken about separating. This will give 13 or 14 days'
notice. We will ask the membership to vote on whether to break away
from SDCS. Discussion about how to present the idea. It was concluded
that Claude will speak alone, and will tell them that we as
individual members (the board) have formed a new corporation and that
if they choose to break away the corporation is there to provide
continuity (and, as a corollary, if they don't so vote, they will
need to find a new board).
A week from tonight, we need to let the SDCS board members know that
they will need to find other board members because we are breaking
away. We should go to the SIG leaders first. One of their new board
members has not officially accepted his position, and that must be
taken care of. Sarah and Adam (and possibly others) on the current
SDCS board offered to continue to serve until they have turned over
their responsibilities.
John Alvarado must change the phone number for SDCS and cancel the
phone that is now in use, as it is running up bills to no benefit to
the group.
We will plan our first meeting of the new SDCS for June. We can get
two copies of Tiger from the Apple Store as prizes. We want to have a
big raffle and give away mugs in celebration of the start of the new
group. Perhaps iPod shuffles as well.
To make the vote, we will need a quorum. Per the SDCS bylaws:

ARTICLE VIII. MEETINGS
Section A. Annual Meeting
The annual meeting of the members of SDMUG shall be the October
general meeting of each year.
Section B. General Meetings
1. General meetings shall be held at such time and place as set
by the Board.
2. Notice of general meetings shall be made by publication of
time and place of
each meeting in the SDMUG newsletter, and any additional method
determined appropriate by the Board.
Section C. Quorums
A quorum shall be the lesser 10% percent of the total SDMUG membership
or 50 members.

So will need to know the membership number if we have fewer than 50
members present, so we can calculate the 20%. Daly is to send SDMUG
bylaws to all board members.

Mac mentioned that he needs power adapters for clamshell iBooks.
Juan moved that we adjourn. Daly seconded the motion.
