I think you can migrate proxt straight away. All it need is two ipaddreses and 
may be two ports(I don't remember..).. try it on week end and it should go in 
production with couple of days of testing..(Disclaimer.. I was never a sysadmin 
by job so take this advice with lots of grains of salt..;-)

 Secondly try moing desktops... Mail server can be MS till time you get 
confident with linux..

And as I said in last mail, ICQ/IRC are more related to firewall than squid 
proxy..

Best way is to test. A linux desktop, a linux proxy and go.. You can even put 
them on single box to start with..
