Thanks. Did not work in my case (Server 2003), I stopped SMS Agent Host service with no effect on the restart countdown.

But wouldn't uninstall the CM client stop the countdown? Obviously not a step to take for a large number of servers, but if you have one or two that have the problem it is a quick fix.
