In very basic terms, if you don't comply with the STL (essentially if you
include chargen and level advancement rules) then you can make no reference
to d20, D&D or whatever. If you do comply then you cas use the d20 logo,
say 'this needs the D&D 3rd phb to use' and so on.
They key difference is that its a whole lot easier to comply with OGL than
STL /but/ for a marketable product (ie using the d20 branding and so forth)
the hoops to jump through for STL compliance are almost certainly worth it.
As is said time and again on here. Read the licences and if you don't fully
and completely comprehend them get a lawyer/attorney to give you advice on
it. Even if you think you do understand then ask anyhow ;)
tbh though, the 'spirit' of the whole OGL/STL thing is simply that if you
create a product that doesn't negate the need for the PHB then you can use
the logos claim d20 compatabilty and so forth. If they don't need the PHB
then its just OGL, so no d20 compatability claims.
**NOTE** That is a gross over simplification, but it is really the essence
of the differences. Its murky in a lot of subtle areas but hey! You get the
advantage of getting hold of a base system (regardless of if you produce OGL
or STL stuff) thats been thoroughly platested and loved/hated by your
potential customers...
